    Terms of Service

    Terms that govern access to Seaglass websites and services.

    These terms are written for Seaglass website visitors, prospects, customers, and authorized business users.

    1. Agreement to Terms

    These Terms of Service describe the terms under which you may access and use websites, products, applications, and services provided by Seaglass, Inc. and its affiliates (together, "Seaglass," "we," "us," or "our") that link to or incorporate these Terms (collectively, the "Services").

    By accessing or using the Services, you agree to these Terms on behalf of yourself and, if you use the Services for an organization, on behalf of that organization. If you do not agree to these Terms, you may not access or use the Services.

    If your organization has a separate written agreement, order form, data processing addendum, security exhibit, or other negotiated terms with Seaglass, those written terms control where they conflict with these Terms.

    2. Eligibility and Accounts

    You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business and professional use, not for children or personal consumer use.

    You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You agree to provide accurate account information, keep it current, and promptly notify Seaglass of any unauthorized access or suspected security incident involving your account.

    Administrators for a customer workspace may manage access, permissions, content, and settings for that workspace. You are responsible for ensuring that your users are authorized to use the Services and comply with these Terms.

    3. Access to the Services

    Subject to these Terms and any applicable customer agreement, Seaglass grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes during the applicable subscription or evaluation period.

    We may modify, suspend, or discontinue portions of the Services from time to time. We will use commercially reasonable efforts to provide notice when a material change materially reduces core functionality for active customers, except where urgent security, legal, or operational circumstances require faster action.

    Beta, preview, alpha, pilot, or evaluation features may be made available for testing and feedback. Those features may be incomplete, changed, suspended, or discontinued at any time and are provided without commitments unless otherwise stated in writing.

    4. Customer Content and Data

    Customer content: As between you and Seaglass, you retain ownership of documents, data, prompts, messages, notes, files, outputs, feedback, and other content submitted to or generated through the Services by or on behalf of your organization, excluding Seaglass technology and service content.

    License to operate the Services: You grant Seaglass the rights needed to host, process, transmit, display, analyze, and otherwise use customer content to provide, secure, support, and improve the Services, comply with law, and fulfill our obligations under applicable agreements.

    Your responsibilities: You are responsible for customer content, including obtaining all rights, permissions, consents, and legal bases needed to submit it to the Services and to permit Seaglass and its subprocessors to process it as described in these Terms, the Privacy Policy, and any applicable customer agreement.

    Seaglass does not sell customer content, does not use customer content for third-party advertising, and does not use customer content to train general-purpose AI models unless your organization expressly directs or permits us to do so in writing.

    5. AI Features and Professional Review

    The Services may use AI systems to parse documents, retrieve information, generate drafts, extract structured data, produce citations, create summaries, and support related workflows. AI-generated outputs may be incomplete, inaccurate, or inappropriate for a particular use case.

    You are responsible for reviewing, validating, and approving outputs before relying on them, sharing them, or using them for legal, financial, investment, regulatory, credit, employment, or other high-impact decisions. Seaglass does not provide legal, tax, accounting, investment, financial, or regulatory advice.

    You should not submit content to the Services or use outputs in a way that violates applicable law, contractual obligations, confidentiality duties, fiduciary duties, professional obligations, or third-party rights.

    6. Acceptable Use

    You agree not to use the Services, and not to permit anyone else to use the Services, to:

    • violate any applicable law, regulation, contract, or third-party right;
    • submit content that is unlawful, harmful, deceptive, defamatory, harassing, invasive of privacy, or otherwise objectionable;
    • attempt to gain unauthorized access to the Services, customer workspaces, accounts, systems, or data;
    • interfere with, disrupt, overload, or degrade the Services or related infrastructure;
    • probe, scan, or test the vulnerability of the Services except through a Seaglass-approved security program;
    • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, non-public APIs, models, prompts, or underlying systems except to the extent prohibited by law;
    • copy, scrape, harvest, or systematically extract Service content or data except as expressly permitted by Seaglass;
    • use the Services to develop or benchmark a competing product or service without Seaglass's prior written consent;
    • remove proprietary notices, bypass usage limits, or circumvent security, authentication, or access controls;
    • upload malware, malicious code, or content designed to compromise systems or data.

    A violation of this section may result in suspension or termination of access to the Services.

    7. Intellectual Property

    Seaglass technology: Seaglass and its licensors own all rights, title, and interest in the Services, including software, interfaces, workflows, designs, models, prompts, documentation, service content, usage improvements, and related intellectual property, excluding customer content.

    Feedback: If you provide suggestions, ideas, requests, or feedback about the Services, Seaglass may use them without restriction or compensation, provided that we do not identify you publicly as the source without your permission.

    Reservation of rights: No rights are granted except as expressly stated in these Terms or a written agreement. You may not use Seaglass names, logos, or marks without prior written permission.

    8. Third-Party Services and Integrations

    The Services may interoperate with third-party services, data sources, cloud infrastructure, AI model providers, document parsing providers, analytics providers, and other subprocessors. Third-party services may be subject to their own terms and privacy notices.

    If your organization enables an integration or directs Seaglass to connect to a third-party source, you authorize Seaglass to access and process information from that source as needed to provide the Services. You are responsible for maintaining the rights and permissions needed for those connections.

    9. Subscriptions, Fees, and Payment

    Fees, subscription terms, usage limits, payment obligations, taxes, renewal terms, and cancellation rights are governed by the applicable order form, subscription agreement, invoice, or other written agreement between you or your organization and Seaglass.

    Unless otherwise stated in writing, fees are non-refundable except where required by law or expressly provided in the applicable agreement. If payments are overdue, Seaglass may suspend access after providing any notice required by the applicable agreement or law.

    10. Confidentiality and Security

    Each party may receive confidential information from the other in connection with the Services. The receiving party will use confidential information only to perform or receive the Services, protect it using reasonable care, and disclose it only to personnel, advisors, contractors, service providers, or affiliates who need to know it and are bound by appropriate confidentiality obligations.

    Seaglass uses administrative, technical, and organizational safeguards designed to protect the Services and customer content. You are responsible for using available security controls appropriately, managing user access, and promptly notifying Seaglass of suspected unauthorized access.

    11. Privacy

    Our Privacy Policy explains how Seaglass collects, uses, and protects personal information. By using the Services, you acknowledge that personal information will be handled as described in the Privacy Policy and any applicable data processing terms.

    12. Suspension and Termination

    These Terms remain in effect while you access or use the Services. You may stop using the Services at any time, subject to any payment, subscription, or termination obligations in your applicable agreement.

    Seaglass may suspend or terminate access to the Services if we reasonably believe that you or your users have violated these Terms, created a security risk, used the Services unlawfully, failed to pay amounts when due, or if suspension is needed to protect the Services, customers, users, or third parties.

    Upon termination, your right to access and use the Services will end. Sections that by their nature should survive termination will survive, including provisions about customer content, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and general terms.

    13. Disclaimers

    The Services are provided on an "as is" and "as available" basis except as expressly stated in a written agreement. To the maximum extent permitted by law, Seaglass disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

    Seaglass does not warrant that the Services or outputs will be uninterrupted, secure, complete, accurate, current, or free of harmful components, or that any output will satisfy your requirements or be suitable for a specific legal, financial, investment, or regulatory purpose.

    14. Limitation of Liability

    To the maximum extent permitted by law, Seaglass and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost business opportunities, lost goodwill, or loss of data, even if advised of the possibility of those damages.

    To the maximum extent permitted by law, Seaglass's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) amounts paid to Seaglass for the Services giving rise to the claim in the 12 months before the event giving rise to liability, or (b) $100. The limitations in this section do not limit liability that cannot be limited under applicable law or any different limitation stated in a signed written agreement.

    15. Indemnification

    You agree to defend, indemnify, and hold harmless Seaglass and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your customer content, your use of the Services, your violation of these Terms, your violation of law, or your violation of third-party rights.

    16. Changes to These Terms

    We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate, such as by updating this page, notifying customer administrators, or sending an email to the address associated with your account.

    The "Last updated" date shows when these Terms were most recently changed. Seaglass assigns ownership for these Terms to its legal, compliance, and product leadership and reviews them at least annually and when significant changes are made to the Services or related policies.

    17. Governing Law

    These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, unless a written agreement between you or your organization and Seaglass states otherwise. Courts located in Delaware will have exclusive jurisdiction for disputes arising under these Terms, except where applicable law requires a different forum or where a written agreement states otherwise.

    18. General Terms

    You may not assign or transfer these Terms without Seaglass's prior written consent, and any attempted assignment in violation of this section is void. Seaglass may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

    These Terms, together with any documents incorporated by reference and any applicable written agreement, constitute the entire agreement between you and Seaglass regarding the Services covered by these Terms. If any provision is unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver.
